Overview & Acceptance of Terms

Foundational agreement between Trade-Hub and all users

Important: These Terms & Conditions constitute a legally binding contract between you and Trade-Hub Marketplace Limited. By accessing or using the Trade-Hub platform, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety.

About Trade-Hub

Trade-Hub is a multi-vendor e-commerce marketplace that connects independent vendors with buyers globally. We provide the technology, infrastructure, and payment processing services that enable transactions between third-party sellers and purchasers. Trade-Hub acts as an intermediary facilitating commerce and is not itself a party to the underlying contract of sale.

Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. By using Trade-Hub, you represent and warrant that you meet these requirements.

Amendments to Terms

Trade-Hub reserves the right to amend this Agreement at any time. Material changes will be communicated via email or platform notification. Continued use of the platform following notification constitutes your acceptance of the revised terms.

User Accounts & Registration

Requirements, obligations, and management of platform accounts

1.1 Registration Requirements

To access full platform functionality you must create a verified account, providing accurate, current, and complete information including your full legal name, valid email, contact number, and where applicable, your business registration details. Provision of false information constitutes a material breach of this Agreement.

1.2 Account Security

You are solely responsible for maintaining the strict confidentiality of your login credentials and for all activities conducted under your account. Notify Trade-Hub immediately at info@thetradehub.store of any actual or suspected unauthorised access.

1.3 One Account Per User

Each individual or legal entity may maintain only one active account unless expressly permitted otherwise in writing by Trade-Hub. Operating multiple accounts in breach of this clause may result in permanent suspension of all associated accounts.

1.4 Account Inactivity

Accounts inactive for twenty-four (24) continuous months may be flagged for deactivation. Trade-Hub will provide no less than thirty (30) days' notice prior to deactivation.

Vendor / Seller Obligations

Duties, standards, and responsibilities applicable to all sellers

2.1 Listing Standards

All vendors must ensure product titles, descriptions, images, pricing, stock levels, and specifications are accurate and not misleading. All listed goods must be lawful to sell in both the vendor's and buyer's jurisdiction, and no counterfeit or unauthorised products may be listed.

Trade-Hub reserves the right to audit vendor listings at any time. Listings found to be in breach may be removed without prior notice. Repeat violations may result in account suspension.

2.2 Order Fulfilment

Upon receiving a confirmed order, vendors must process and dispatch within the stated delivery timeframe (or within three business days where no timeframe is stated), provide valid tracking information within 24 hours of dispatch, and include all legally required documentation with the shipment.

2.3 Vendor Communications

All communications with buyers must be conducted through Trade-Hub's internal messaging system. Vendors must not solicit buyers to transact outside of the Trade-Hub platform.

2.4 Fees & Commission

Vendors acknowledge that Trade-Hub charges a commission on each completed sale as specified in the Vendor Fee Schedule on the Vendor Dashboard. Trade-Hub may amend fee structures with no less than thirty (30) days' written notice.

Buyer Responsibilities

Obligations and conduct expected of all purchasing users

3.1 Purchase Intent

By placing an order on Trade-Hub, you enter into a direct contract of sale with the vendor. Trade-Hub facilitates this transaction but is not party to the contract of sale. You are responsible for ensuring you have the legal right to purchase and receive the goods in your jurisdiction.

3.2 Accuracy of Information

Buyers must provide accurate delivery addresses, contact details, and payment information at checkout. Trade-Hub and vendors are not responsible for failed deliveries arising from inaccurate buyer-provided information.

3.3 Customs & Import Obligations

For international purchases, buyers are solely responsible for complying with all import regulations and paying any applicable customs duties or taxes. Trade-Hub accepts no liability for goods delayed, seized, or rejected at customs.

3.4 Prohibited Buyer Conduct

Buyers must not engage in fraudulent activity including filing false dispute claims, abusing return policies, engaging in "friendly fraud" (unauthorised chargebacks on legitimate purchases), or attempting to pressure vendors through unfounded negative reviews.

Payments & Transaction Processing

Payment methods, processing, escrow, and financial terms

4.1 Accepted Payment Methods

Trade-Hub supports major credit and debit cards (Visa, Mastercard), bank transfers, and other methods displayed at checkout. Accepted methods may vary by region.

4.2 Escrow & Vendor Payouts

Funds paid by buyers are held in escrow until the order is marked as delivered and any applicable buyer protection period has elapsed. Vendor payouts are processed in accordance with the Trade-Hub Vendor Payout Schedule.

Buyer Protection Period

Funds are held in escrow for a minimum of 7 days post-delivery to allow for dispute initiation before release to vendor.

Vendors receive cleared funds within 7–14 business days of buyer protection period expiry, subject to account standing.

Currency Conversion

Multi-currency transactions are subject to conversion rates applied by Trade-Hub or its processors at the time of transaction.

Transaction Records

All confirmed transactions are accessible in your account dashboard for a minimum of 7 years for tax and compliance purposes.

4.3 Chargebacks & Disputes

Before initiating a chargeback with your payment provider, buyers must first raise a formal dispute through Trade-Hub's resolution centre. Unauthorised chargebacks on valid transactions may result in account suspension and recovery action.

Delivery & Fulfilment Terms

Shipping standards, timelines, and responsibility allocation

5.1 Delivery Timeframes

Estimated delivery timeframes are indicative only and provided by the vendor. Trade-Hub does not guarantee delivery within any specific timeframe. Delays may occur due to carrier capacity, customs processing, weather, or other circumstances beyond reasonable control.

5.2 Risk of Loss

Risk of loss passes from vendor to buyer upon dispatch and handover to the carrier. Once goods have been handed to the carrier, the vendor's delivery obligation is fulfilled. Buyers are advised to obtain shipping insurance for high-value items.

5.3 Non-Receipt Claims

If a buyer does not receive their order within the maximum delivery estimate, they must notify Trade-Hub through the order management system within fourteen (14) days of the estimated delivery date. Claims raised outside this window may not be eligible for resolution under Trade-Hub's buyer protection scheme.

5.4 Incorrect or Damaged Goods

Buyers who receive goods materially different from the listing description, or that arrive damaged, must report this within seventy-two (72) hours of delivery with photographic evidence. Trade-Hub will facilitate resolution between vendor and buyer in accordance with Section 6.

Returns, Refunds & Dispute Resolution

Buyer protection policy, return procedures, and the resolution process

6.1 Buyer Protection Policy

Buyers may be entitled to a refund or replacement where: the item was not delivered within the maximum stated window; the item received is significantly not as described; the item arrived damaged due to inadequate packaging; or the vendor fails to fulfil the order without cause.

6.2 Return Process

  1. Navigate to Order History in your Trade-Hub account.
  2. Select the order and choose "Request Return or Refund".
  3. Select the reason and upload supporting evidence (photos, communications).
  4. Submit the request — the vendor has 48 hours to respond.
  5. If approved, follow the return shipping instructions provided.
  6. Upon confirmation of return receipt, a refund will be issued within five (5) business days.

6.3 Dispute Escalation

Where a buyer and vendor cannot reach resolution within five (5) business days, either party may escalate to Trade-Hub's Disputes Team. Trade-Hub's decision shall be final and binding on both parties.

6.4 Non-Returnable Items

The following are generally non-returnable unless they arrive damaged or not as described:

  • Perishable goods
  • Digital downloads once redeemed
  • Personalised or custom-manufactured items
  • Hygiene-sensitive goods once opened
  • Hazardous materials

Intellectual Property Rights

Ownership of platform content and user-generated material

7.1 Trade-Hub Proprietary Rights

All content, features, functionality, software, design, trademarks, and visual assets comprising the Trade-Hub platform are the exclusive property of Trade-Hub Marketplace Limited and are protected by applicable intellectual property laws. No portion may be reproduced or used without Trade-Hub's prior written consent.

7.2 User-Generated Content

By submitting content to Trade-Hub — including listings, photographs, reviews, and messages — you grant Trade-Hub a worldwide, royalty-free, sublicensable licence to use, reproduce, display, and distribute such content for the purposes of operating and improving the platform.

7.3 Copyright Infringement

If you believe any platform content infringes your copyright, submit a notice to info@thetradehub.store . Trade-Hub will investigate all valid notices and take appropriate action promptly.

Prohibited Activities

Conduct and content strictly prohibited on the Trade-Hub platform

Zero Tolerance: Violations of this section may result in immediate account termination, referral to law enforcement, and civil or criminal liability.

8.1 Prohibited Listings

  • Counterfeit, fake, or unauthorised reproductions of branded goods
  • Illegal weapons, firearm components, or controlled explosives
  • Controlled substances or prescription medications without authorisation
  • Goods that infringe third-party intellectual property rights
  • Child sexual abuse material or any content that exploits minors
  • Products or services designed to facilitate illegal activity
  • Endangered species or products derived from protected wildlife

8.2 Prohibited Platform Conduct

  • Money laundering, fraud, or any financial crime
  • Circumventing Trade-Hub's fee structure or payment systems
  • Scraping or extracting platform data without written authorisation
  • Introducing malware or malicious code into the platform
  • Harassment, abuse, or intimidation of other users or staff
  • Creating fake reviews or manipulating product ratings
  • Operating undisclosed secondary accounts or impersonating others

Limitation of Liability

The extent and limits of Trade-Hub's legal responsibility

9.1 Platform as Intermediary

Trade-Hub operates as a technology-enabled marketplace intermediary and does not manufacture, store, inspect, or ship products. Trade-Hub therefore makes no warranty as to the quality, safety, legality, or fitness for purpose of any goods or services listed by vendors.

9.2 Exclusion of Indirect Losses

To the fullest extent permitted by law, Trade-Hub shall not be liable for any indirect, incidental, consequential, or punitive damages; loss of profits, revenue, business, or data; or losses resulting from the acts of third-party vendors, carriers, or payment processors.

9.3 Cap on Liability

Where Trade-Hub is found liable for direct damages, its total aggregate liability shall not exceed the greater of: (a) the total transaction value of the order giving rise to the claim; or (b) NGN 50,000.00.

9.4 Indemnification

You agree to indemnify and hold harmless Trade-Hub and its officers, directors, employees, and agents from any claims, damages, and costs arising from your use of the platform, breach of this Agreement, violation of applicable law, or content you submit.

Nothing in this Agreement limits liability which cannot be excluded under applicable Nigerian consumer protection legislation, including the Federal Competition and Consumer Protection Act (FCCPA) 2018, or liability for death or personal injury caused by negligence.

Privacy & Data Protection

How Trade-Hub collects, uses, and safeguards personal data in compliance with the NDPR & NDPA

10.1 Privacy Policy

Trade-Hub's collection and processing of personal data is governed by the Trade-Hub Privacy Policy, which forms part of this Agreement. By using Trade-Hub, you consent to the data practices described in the Privacy Policy.

10.2 Data We Collect

  • Identity data: full name, username, date of birth
  • Contact data: email, phone number, physical address
  • Financial data: billing address and tokenised payment references
  • Transaction data: purchase history, order details, return records
  • Technical data: IP address, browser type, device identifiers
  • Usage data: browsing patterns, search queries, feature interactions

10.3 Your Data Rights

In accordance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act (NDPA) 2023, you have the right to access, correct, erase, restrict processing of, and port your personal data. Submit requests to info@thetradehub.store . Complaints regarding data handling may also be directed to the Nigeria Data Protection Commission (NDPC).

10.4 Cookies

Trade-Hub uses essential, analytical, and functional cookies. By continuing to use Trade-Hub you consent to cookies in accordance with the Cookie Policy. You may manage preferences through your browser settings.

Platform Rights & Administration

Trade-Hub's rights to moderate, suspend, and manage the platform

11.1 Content Moderation

Trade-Hub reserves the right to review, monitor, edit, or remove any content that violates this Agreement, is harmful or misleading, infringes third-party rights, or is otherwise objectionable in Trade-Hub's reasonable discretion.

11.2 Account Suspension & Termination

Trade-Hub may suspend or terminate your account where it reasonably suspects a breach of this Agreement, fraudulent or illegal activity, a security risk, failure to respond to verification requests, or an unresolved financial obligation.

11.3 Consequences of Termination

Upon termination, your access will be immediately revoked, active listings removed, and pending orders resolved in accordance with Trade-Hub's procedures. Sections 7, 9, 10, and 12 survive termination.

11.4 Platform Modifications

Trade-Hub reserves the right to modify, update, suspend, or discontinue any part of the platform at any time without liability for resulting disruption.

12

Governing Law & Jurisdiction

Legal framework under Nigerian law, dispute jurisdiction, and general provisions

12.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of laws provisions.

12.2 Jurisdiction

The parties irrevocably submit to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria — including the Federal High Court and the High Court of Lagos State — for the resolution of any dispute arising out of or in connection with this Agreement.

12.3 Severability

If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, or severed. Remaining provisions continue in full force.

12.4 Entire Agreement

This Agreement, together with Trade-Hub's Privacy Policy, Cookie Policy, and Vendor Agreement (where applicable), constitutes the entire agreement between you and Trade-Hub regarding your use of the platform.
